Terms and Conditions for Delevate

1. Acceptance of Terms

By using Delevate's services, you agree to these Terms and Conditions. Please read them carefully before using our platform. If you do not agree to these terms, you should not use our services.

2. Description of Service

Delevate provides AI-powered task analysis and virtual assistant delegation services. Our platform is designed to help businesses and individuals optimize their workflow and increase productivity. We offer various features including task analysis, delegation recommendations, and virtual assistant management tools.

3. User Responsibilities

• Provide accurate and up-to-date information when using our services
• Maintain the confidentiality of your account credentials and not share them with others
• Use the service in compliance with all applicable laws and regulations
• Respect the intellectual property rights of Delevate and other users
• Not engage in any activity that could harm, disable, or impair our services
• Report any security vulnerabilities or breaches you become aware of

4. Intellectual Property

All content and functionality on Delevate is the exclusive property of Delevate. This includes, but is not limited to, our logo, website design, text, graphics, interfaces, and software. Users are granted a limited license to use our services for their intended purpose, but may not reproduce, distribute, or create derivative works without our explicit permission.

5. Privacy

Your use of Delevate is also governed by our Privacy Policy. This policy outlines how we collect, use, and protect your personal information. By using our services, you consent to the practices described in the Privacy Policy.

6. Payment Terms

6.1 Pricing: Our service is offered in three tiers:

• a) Basic Delegation Package: $3,500 upfront + $1,000/month
• b) Professional Delegation Package: $5,500 upfront + $1,500/month
• c) Executive Delegation Package: $8,500 upfront + $2,500/month

6.2 Add-on Services:

• a) Additional VA Hiring: $2,000 per VA
• b) Automation Implementation: Starting at $1,500
• c) Custom Workflow Design: $1,000 per workflow
• d) Extended Support: $500/month after the included period

6.3 Billing:

• a) The upfront fee is due at the time of sign-up.
• b) Monthly fees are billed on the same day each month following your sign-up date.
• c) Add-on services are billed at the time of request or added to the next monthly invoice, as applicable.
• d) We use secure third-party payment processors (such as Stripe or Razorpay) to handle all transactions. Your use of these services is subject to their respective terms and conditions.

6.4 Auto-Renewal: Your subscription will automatically renew each month unless cancelled.

6.5 Refund Policy:

• a) The upfront fee is non-refundable once service delivery has begun.
• b) Monthly fees are non-refundable for the current billing period.
• c) Add-on services are non-refundable once the service has been initiated.
• d) If you cancel your subscription, you will continue to have access to the service until the end of your current billing period.

6.6 Changes to Pricing: We reserve the right to change our pricing at any time. Any price changes will be communicated to you in advance and will apply to the next billing cycle.

6.7 Taxes: All fees are exclusive of any applicable taxes, which will be added to your total amount due where required.

6.8 Late Payments: If a payment is not successfully processed, due to expiration, insufficient funds, or otherwise, you remain responsible for any uncollected amounts. We reserve the right to suspend service until payment is received.

6.9 Disputes: Any payment disputes must be reported to us in writing within 30 days of the charge date. Email billing@delevate.xyz for all billing related queries.

7. Limitation of Liability

Delevate is not liable for any indirect, incidental, special, consequential or punitive damages. This includes, but is not limited to:

• Loss of profits, revenue, data or business opportunities
• Interruption of business operations
• Personal injury or property damage related to or resulting from your use of the service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any errors, viruses or other malicious software that may be transmitted to or through our service

Our total liability for any claim arising out of or relating to these Terms shall not exceed the amount paid by you to Delevate during the 12 months preceding the event giving rise to the liability.

8. Termination

We reserve the right to terminate or suspend your account for violation of these terms. Reasons for termination may include, but are not limited to:

• Violation of these Terms and Conditions
• Fraudulent or illegal activities
• Non-payment of fees
• Abusive behavior towards our staff or other users

Upon termination, your right to use the service will immediately cease. All provisions of the Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity and limitations of liability.

9. Governing Law and Jurisdiction

9.1 These Terms and Conditions are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

9.2 Any dispute arising out of or in connection with these Terms and Conditions, including any question regarding its existence, validity or termination, shall be subject to the exclusive jurisdiction of the courts in Andhra Pradesh, India.

9.3 For users accessing our services from outside India:

• a) You agree that by using our services, you're subject to the laws of India and Andhra Pradesh with respect to your use of Delevate, regardless of your country of origin or where you access the service.
• b) You agree to submit to the jurisdiction of the courts in Andhra Pradesh, India for any actions related to your use of our services.

9.4 If you are a consumer based in the European Union, you may also be entitled to bring proceedings in the EU member state where you are resident. Nothing in these terms affects your rights as a consumer to rely on mandatory provisions of local law.

9.6 If any provision of these Terms and Conditions is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms and Conditions unenforceable or invalid as a whole.

We may modify these terms at any time. Continued use of the service constitutes acceptance of modified terms. We will make reasonable efforts to notify you of any significant changes to these terms. It is your responsibility to review these terms periodically for any updates or changes.

12. Severability

These Terms constitute the entire agreement between you and Delevate regarding the use of our services, superseding any prior agreements between you and Delevate relating to your use of our services.

14. Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term. Delevate's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

15. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without Delevate's prior written consent. Any attempt by you to assign or transfer these Terms without such consent will be null and of no effect. Delevate may assign or transfer these Terms, at its sole discretion, without restriction.
